(Z) OPERATOR QUALIFICATION/CERTIFICATION: You must ensure only trained and currently certified operators should use the equipment. All operators must meet the requirements outlined in OSHA 29 CFR 1910.178, para (L) dated 12-1-98 as well as all other Federal, State, and Local regulations and may not use the equipment if not properly certified. If your operators are in need of safety training, All Pro offers this service. Please contact our training department at the 907-338-5438.

DELAYS

DELIVERIES UNDER ALL CONTRACTS AND AGREEMENTS ARE CONTINGENT UPON ACTS OF PROVIDENCE, STRIKES, ACCIDENTS, GOVERNMENTAL PRIORITY REGULATIONS AND OTHER CAUSES OF DELAY BEYOND THE SELLER'S CONTROL, AND IN NO EVENT WILL THE SELLER BE LIABLE FOR CONSEQUENTIAL DELAYS OR LOSSES.

CANCELLATIONS

ORDERS CANNOT BE CANCELLED, SPECIFICATIONS CHANGED OR GOODS RETURNED WITHOUT SELLER'S PRIOR PERMISSION. ACCEPTANCE IS CONDITIONAL UPON REIMBURSEMENT FOR CONSEQUENTIAL LOSS TO THE SELLER

DELIVERIES

PROMISES OF DELIVERY ARE GIVEN AS ACCURATELY AS CONDITIONS WILL PERMIT, BUT SELLER DOES NOT GUARANTEE TO ACCOMPLISH SHIPMENTS ON DATE OR DATES MENTIONED. DUE TO REMOTE SHIPMENTS, JARRING, DROPPING, NO STARTS, AND SHOCKS TO EQUIPMENT SYSTEMS, OR SHIPPING RELATED DAMAGE DO NOT QUALIFY AS WARRANTY ISSUES.

WARRANTIES

THE SELLERS LIABILITY IS LIMITED TO MAKING GOOD DEFECTS IN WORKMANSHIP OR MATERIAL UNDER THE MANUFACTURER'S WARRANTY AND SHALL NOT EXCEED THE PURCHASE PRICE OF THE DEFECTIVE ITEM. THE SELLER IN NO EVENT SHALL BE LIABLE FOR DAMAGES TO PERSONS OR PROPERTY ARISING OUT OF THE USE OF ITEMS SOLD. THIS WARRANTY SUPERSEDES ALL PRIOR ASSURANCES, WRITTEN OR ORAL MADE BY THE SELLER, ITS AGENTS OR REPRESENTATIVES.

TERMS: Equipment purchased must be paid for when delivered. If the equipment should experience a mechanical problem while under warranty, I or my company will immediately stop operating the equipment, tag the machine out of service and notify All Pro Alaska immediately or be responsible for the damage. If not defined above, all equipment sold is sold as is. If sold with a warranty for an unspecified term, a 30day/250 hour power train warranty will apply to used equipment. Used equipment will never have a full warranty. Full warranty is defined as items not subject to abuse or damage or items normally consumed by machines such as light bulbs, fuses, oils, liquids, fuels, or wearable's identified as but not limited to tires, bearings, seals, hoses, batteries, brakes, etc. Power train will be defined as engine mechanical, transmission, and axles which have been used within manufacturers intended use. Customer are responsible for providing copies of daily operator inspections and proof of routine maintenance as directed by the equipment manufacturer & service manual. Failure to provide the aforementioned is a violation of warranty and warranty coverage is not available for the purchased equipment or product. Due to the considerable distance of some customer's at remote locations, units sold outside of Anchorage, Wasilla, and Palmer will have warranty limitations and are responsible for travel costs, wait time, diagnostic, per diem, hotel, rent a car, drayage, parts shipping, labor charges, and associated expenses to execute the successful completion of work. All Pro Alaska will make every effort to recover as many expenses as possible through the factory but all costs not covered by the factory are the sole responsibility of the customer.

REMOTE TECH TRAINING: For customers in outlying areas, it is highly recommended you purchase the remote tech training package. Our tech will come to your site and train your technicians on the trouble shooting, calibration, servicing and programming of your newly purchased equipment. The training is $2500.00 a day, plus airfare, lodging and per diem. Due to weather and flights wait times are charged for unforeseeable delays. If you have not elected to purchase this option, you understand that you may experience significant down time and costs associated with owning this equipment due to maintenance inexperience.

In the event of mechanical difficulties, customer understands they are obligated to fulfill payments as required in the bill of sale. A daily operator check should be performed to safe guard against these items. All orders are non-cancellable once placed and will be paid in full by customer or customer finance entity. All sales final.

GENERAL

NO TERMS CONTAINED IN THE PURCHASER'S PURCHASE ORDER, SHIPPING REQUEST, OR OTHER COMMUNICATIONS SHALL VARY. THE TERMS OF THE AGREEMENT, EXPRESSED HEREIN, WHETHER OR NOT SHIPMENT OF THE GOODS FOLLOWED RECEIPT OF SUCH PURCHASE ORDER OF OTHER COMMUNICATIONS.
